Introduction
Welcome to Vaughan&Mont Digital Solutions. These Terms and Conditions (“Terms”, “Terms and Conditions”) govern your relationship with Vaughan&Mont Digital Solutions (“us”, “we”, or “our”) website (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
Services
Website Design
- Scope of Work: Vaughan&Mont Digital Solutions will provide website design services as described in the agreed proposal. Any additional work outside the initial scope will be subject to additional fees.
- Content Provision: The Client is responsible for providing all necessary content, including text, images, and other media, for the website.
- Revisions: A specified number of revisions are included in the proposal. Any additional revisions beyond the included number may incur extra charges.
- Estimated Timelines: Project timelines provided are estimates and may be impacted by various factors, including client responsiveness, changes in project scope, and third-party dependencies. While Vaughan&Mont Digital Solutions will endeavor to meet deadlines, specific delivery dates are not guaranteed.
- Client Inactivity: If the Client becomes unresponsive during a project, Vaughan&Mont Digital Solutions will make efforts to contact the Client over a period of four weeks. If the Client remains unresponsive after this period, we reserve the right to terminate the project and collect any outstanding payments for work completed up to that point.
- Third-Party Server Issues: Vaughan&Mont Digital Solutions is not responsible for any issues caused by the mail servers we use, such as MailChimp.
Payment Terms
These payment terms (“Terms”) outline the financial obligations between Vaughan&Mont (“Company”) and the client (“Client”) concerning website design, hosting, and maintenance services provided by the Company. By engaging with Vaughan&Mont’s services, the Client agrees to adhere to the following payment terms, which govern the Essential Plan, including its mandatory enrollment and minimum term contract requirements. It is imperative for both parties to understand and abide by these Terms to ensure a transparent and mutually beneficial business relationship.
The Essential Plan:
Upon website completion, clients will automatically enroll in our mandatory Essential Plan, the foundational offering for ongoing website services. This plan encompasses:

The initial charge occurs upon the launch of the website, with subsequent payments due on the same date each month thereafter.
Consequences of Non-Payment:
Failure to fulfill monthly payments will result in the suspension of website services, rendering the website inaccessible to users. In the event of website suspension due to non-payment, the client will be promptly notified, providing a grace period of 14 days to reinstate the monthly payment and pay the outstanding balance. If payment is not reinstated within this period, the website will be subject to cancellation.
Website Updates and Alterations:
Please note that the Essential Plan does not encompass website updates, alterations, or additions. Separate quotes will be provided for any requested amendments to the website. Any alterations initiated by the Client shall be deemed the sole responsibility of the Client. These include but are not limited to, amendments, additions and deletions. Vaughan&Mont shall not be obligated to rectify or amend such alterations without the imposition of associated costs.
Minimum Term Contract:
Upon enrollment in our Essential Plan, clients enter into a fixed minimum term contract of 12 months. During the initial 12-month period, ownership of the website remains with Vaughan&Mont until the minimum contract term is completed and payment is rendered in full. Clients have the flexibility to upgrade to our Bespoke Plan at any point during this term.
Should a client wish to transfer their website to a different hosting provider before the conclusion of the 12-month term, an early exit fee will be applicable. The precise amount of this fee will be dependent on the amount of months left in the 12-month term and will be communicated upon request.
Upon fulfillment of the 12-month minimum term contract, clients will automatically transition to a rolling month contract and the client will have full ownership of the website. If clients wish to discontinue services with Vaughan&Mont or transfer their website elsewhere, they must provide us with 30 days’ notice to facilitate the necessary arrangements for transfers and cessation of services.
Initial Services Deposit
Prior to the commencement of the Initial Services, a non-refundable deposit is required. Vaughan&Mont Digital Solutions will not commence Initial Services until the Client has provided written acceptance of the Scope of Work, executed the Agreement, and paid any due deposit.
Amendments to the Scope of Work
If the Client wishes to amend the Scope of Work after acceptance, they must notify Vaughan&Mont Digital Solutions in writing of the proposed amendments. We will make reasonable efforts to accommodate these changes, but the Client acknowledges that amendments may result in changes to the fees and project timelines. Any revised fees and timelines will be communicated to the Client, and Vaughan&Mont Digital Solutions will not proceed with the amendments until the Client provides written acceptance of the revised fees and timelines.
Consequences of Non-Payment
- Website Services: Failure to fulfill payments for website services will result in the suspension of website services, rendering the website inaccessible to users. In the event of suspension due to non-payment, the Client will be notified and given a 14-day grace period to reinstate the payment and pay any outstanding balance. If payment is not reinstated within this period, the website may be cancelled.
- Email Marketing Services: Invoices for email marketing services are due monthly. Late payments will result in the withdrawal of email marketing services until the invoice is settled, potentially affecting scheduled emails.
Client Responsibilities
Website Management
- Tutorials Provided: Upon website launch, clients will receive tutorials on managing and making changes to their site.
- Liability for Client Actions: Vaughan&Mont Digital Solutions is not liable for any issues, disruptions, or damage to the site caused by the Client when logged in to manage or make changes.
- Fixing Client-Induced Issues: Any issues caused by the Client that require intervention from Vaughan&Mont Digital Solutions will incur additional charges.
General Conditions
- Confidentiality: Both parties agree to maintain the confidentiality of all information shared during the project.
- Intellectual Property: All intellectual property created during the project remains the property of Vaughan&Mont Digital Solutions until full payment is received.
- Termination: Either party may terminate the agreement with 30 days written notice. Fees for work completed up to the termination date are non-refundable.
- Liability Limitation: Vaughan&Mont Digital Solutions will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided.
